# PREPLAB – TERMS OF USE

Please read these Terms of Use (“Terms”) carefully before accessing or using PrepLab (the “Platform,” “we,” “us,” or “our”), accessible via preplab.ca. By creating an account, purchasing access, or using any part of the Platform, you (“User,” “Candidate,” or “you”) agree to be legally bound by these Terms. If you do not agree, you must immediately cease using the Platform.

## 1. Scope of Service & Educational Disclaimer

PrepLab provides simulated educational practice materials, case studies, multiple-choice questions (MCQs), and single-menu questions (SMQs) intended strictly for self-directed study and exam preparation.

* **No Medical Advice:** Content on the Platform is for educational purposes only. It does not constitute formal medical advice, clinical guidelines, or medical diagnoses. Candidates must rely on current official clinical guidelines and professional standards when practicing medicine. * **No Prediction or Guarantee of Success:** The Platform’s scoring metrics, "Difficulty" rankings, feedback, and performance metrics are learning signals and educational benchmarks only. They do not predict, guarantee, or imply any specific outcome on official examinations, nor do they guarantee medical licensure, residency placement, or professional certification.

## 2. Absolute Independence & Trademark Disclaimer

PrepLab is a completely independent, privately owned educational platform.

* **Non-Affiliation:** PrepLab is **not** affiliated with, endorsed by, sponsored by, or approved by the Medical Council of Canada (MCC) or any other official medical examination board or regulatory body. * **Nominative Use of Trademarks:** Any reference to the "TDM" (Therapeutic Decision-Making) exam or other medical examination terminology on this Platform is strictly for nominative, descriptive purposes to identify the independent study context for candidates. All trademarks remain the property of their respective owners.

## 3. Proprietary Content, AI Generation, & "Clean Room" Sourcing

All text, case vignettes, questions, logic trees, explanations, graphics, software, and interface elements on PrepLab are the exclusive intellectual property of PrepLab.

* **Original & AI-Assisted Material:** All 3,000+ questions and clinical scenarios on this platform are original works created through a "clean room" methodology. Our content is generated utilizing advanced artificial intelligence tools and subsequently subjected to rigorous review, editing, and validation by human clinical experts. * **No Official Content Utilized:** Content is derived strictly from public peer-reviewed medical literature, textbooks, and generic clinical guidelines. PrepLab does not host, distribute, copy, or utilize leaked, recalled, or copyrighted examination content from any official examination body. * **Audit Access Binding:** If you are an employee, agent, investigator, or auditor acting on behalf of an examination board or regulatory body, your creation of an account or access to the Platform explicitly binds you and your organization to these Terms. You agree that our content is original and synthetically derived, and you are strictly barred from misappropriating, copying, or using our proprietary question layouts or software architecture.

## 4. Permitted Use, Restrictions, and Anti-Scraping

You are granted a limited, non-exclusive, non-transferable, revocable license to access PrepLab for personal, non-commercial study.

**You are strictly prohibited from:**

* Copying, reproducing, distributing, reselling, or publicly sharing any questions, clinical stems, feedback, or explanations. * Taking screenshots, screen recordings, or photos of the Platform content. * Using automated tools, spiders, robots, scrapers, or scripts to extract data, questions, or code from the Platform. * Sharing your user account, login credentials, or individual access codes with any other individual or institution.

## 5. Account Security, Suspension, and Termination

Paid access is tied exclusively to the selected plan duration and the individual candidate account or access code issued at checkout. You are entirely responsible for maintaining the confidentiality of your login details.

PrepLab reserves the right, in its sole discretion and without prior notice or refund, to immediately suspend or permanently terminate account access if we detect:

* Simultaneous logins or credential-sharing. * Activity indicative of automated data extraction or rapid page scraping. * Payment defaults, chargebacks, or fraudulent payment attempts. * Any behavior that compromises the integrity, performance, or security of the Platform.

## 6. Exclusion of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PREPLAB EXPLICITLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR ACCURATE.

## 7. Limitation of Liability & Waiver of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PREPLAB, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes, without limitation:

* Loss of profits, lost wages, or lost career opportunities resulting from failing an actual examination. * Delays in medical residency placements, clinical practice, or professional licensing. * Emotional distress or mental anxiety related to exam preparation or performance outcomes. * Data loss or service interruptions.

### The Liability Cap:

TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS **STRICTLY LIMITED TO THE EXACT AMOUNT OF FEES ACTUALLY PAID BY YOU TO PREPLAB** DURING THE SUBSCRIPTION PERIOD IMMEDIATELY PRECEDING THE CLAIM.

##8. Payments, Access, Cancellations, and Refunds

PrepLab is an access-based digital study platform. When you purchase a paid plan, you are purchasing access to PrepLab for the plan duration shown at checkout, not a physical product.

All payments are final once access to the platform has been created, issued, activated, or otherwise made available to you, including by candidate account, login credentials, access code, or checkout confirmation. No refunds, credits, partial refunds, or prorated refunds will be issued for unused time, lack of use, change of mind, exam delay, exam cancellation, dissatisfaction with study results, or failure to use the platform after access has been provided.

You are responsible for reviewing the plan, price, duration, and platform description before completing payment. By completing payment, you acknowledge that access may begin immediately and that the purchase becomes non-refundable once access is provided.

Cancellation of a subscription or access plan stops future renewal charges where applicable, but does not refund fees already paid for the current access period.

PrepLab may, at its sole discretion, review refund requests only where required by applicable law or where there is a confirmed billing error, duplicate charge, unauthorized charge, or technical issue caused by PrepLab that prevented access to the purchased product. Refund requests based on account sharing restrictions, violation of these Terms, misuse of the platform, or attempted copying, scraping, redistribution, resale, or public sharing of PrepLab content will not be approved.

PrepLab reserves the right to suspend or terminate access without refund if a user violates these Terms, shares login details or access codes, attempts to extract protected content, abuses support channels, initiates improper payment disputes, or engages in activity that harms the platform, or other users.
